Terms of Service
Introduction
Welcome to Scrptly.com ("Scrptly", "we", "us", or "our"), a cloud-based platform that enables users to create, edit, and render videos using advanced media processing and AI-powered tools. These Terms of Service ("Terms") govern your access to and use of the Scrptly platform, APIs, and any related services provided (collectively, the "Service"). By registering for, accessing, or using any portion of the Service, you agree to be legally bound by these Terms. If you do not agree to these Terms, do not use the Service.
Eligibility
You must be at least 13 years old to use the Service. If you are under the legal age of majority in your jurisdiction, you must have your parent or guardian's consent to use the Service.
Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials and any API keys or tokens generated or input into the Service. Scrptly is not responsible for any unauthorized access resulting from stolen, leaked, or mismanaged API keys or credentials. You are solely liable for any activity conducted through your account, including usage of third-party APIs and any charges incurred therefrom.
- Keep your credentials and API keys secure.
- Immediately notify Scrptly if you suspect unauthorized use of your account.
- Rotate and revoke compromised credentials or API keys without delay.
Use of External API Keys
Scrptly may provide integrations with third-party services (e.g., AI models, media providers) that require API keys supplied by you. You acknowledge and agree that:
- You are solely responsible for the security and proper usage of your API keys.
- Any charges, rate-limiting, or penalties incurred due to the use of your API keys with Scrptly are your responsibility.
- Scrptly does not monitor, manage, or assume liability for how those services bill or manage usage.
- Scrptly cannot and will not intervene in disputes between you and external API providers.
AI Agent Overview
Scrptly provides an AI agent that helps produce long-form video projects from an input prompt and optional context images. The agent can draft screenplays, assemble scenes, source or suggest stock footage, synthesize narration, and orchestrate rendering steps to produce a final deliverable.
How the Agent Works
The agent accepts a user prompt and optional context (images, references, style notes). It then performs a series of actions — such as planning a script, generating visual segments, and producing audio — to build the video. Actions may be performed deterministically or via probabilistic model outputs depending on the task and provider.
- Input: prompt, context images, reference links, target duration, and style preferences.
- Processing: breakdown into scenes, shot lists, narration scripts, and visual assets.
- Output: assembled video segments, rendered preview, and exportable files.
Token Pricing & Billing
The AI agent is billed on a token basis. Different actions consume tokens at variable rates; these rates are disclosed within the application.
- Action-based consumption: script generation, scene rendering, narration synthesis, and other tasks each consume tokens.
- Action pricing may vary and the exact token cost for generating a scene or performing an action may not be known until execution; in-app estimates are approximate and final charges may differ.
- Token accounting: tokens are deducted as actions execute and are non-exchangeable and non-refundable except as required by law.
- Subscription allowances: some plans include monthly token bundles; unused tokens may expire or reset per plan terms.
Generated Video Workflows
Workflows describe how the agent composes a video from discrete steps. A typical workflow includes planning, asset generation, assembly, preview, and final render.
- Planning: generate script, shot list, and timings from the prompt.
- Asset generation: produce or fetch video clips, images, voiceover, and music.
- Assembly: stitch clips, apply transitions, captions, and mix audio.
- Preview & iterate: render preview segments for review and optional retries.
- Final render & export: create the final export in chosen formats and resolutions.
Third-party Sub-agents & Integrations
The agent may call multiple third-party providers or model services ("sub-agents") to complete different tasks. When sub-agents are used, we may transmit the prompt, context images, and derived processing cues to them.
Sub-agents may handle specialized tasks such as high-quality video synthesis, TTS, or music generation.
Quality, Retries & Support
AI outputs vary in quality. Multiple attempts may be necessary to obtain a satisfactory result; token consumption applies to each attempt.
- No guaranteed success: the agent may not produce an acceptable result on any particular run.
- Retries: you may retry actions, but token costs still apply.
- Support: for technical issues or billing questions related to agent actions, contact support as described elsewhere on the site.
Internal Integrations & Provider Credentials
For certain features the AI agent uses Scrptly’s internal integrations and provider credentials. For other optional integrations you supply API keys.
- Internal: when we use our own provider credentials, usage is billed according to Scrptly's token model and plan terms.
- User-supplied keys: when you provide API keys for external services, you are responsible for securing those keys and for any charges incurred.
- Disputes: Scrptly does not intervene in billing disputes between you and external API providers.
Permitted Use
Scrptly is provided solely for lawful, non-infringing purposes. You may not use the Service to:
- Generate, distribute, or edit content that is defamatory, obscene, violent, hateful, pornographic, or otherwise illegal.
- Infringe upon any third-party rights including copyrights, trademarks, privacy, or publicity rights.
- Engage in fraud, impersonation, or identity theft.
- Interfere with or attempt to disrupt the Service’s infrastructure or systems.
- Reverse engineer, scrape, or mine data from the platform in unauthorized ways.
Scrptly reserves the right to suspend or terminate accounts found to be in violation of these guidelines.
Content Ownership
You retain ownership of any content you create or upload using the Service. However, by using Scrptly, you grant us a non-exclusive, worldwide, royalty-free license to store, process, and transmit your content solely to provide the functionality of the Service.
You are solely responsible for the content you upload or generate, including ensuring that you have the necessary rights to use and process such content.
Prohibited Content
You may not use the Service to create or distribute content that:
- Violates any law or regulation.
- Infringes on third-party intellectual property.
- Is sexually explicit, promotes terrorism or violence, incites hatred, or supports illegal activity.
- Attempts to mislead or impersonate any individual or organization.
Service Modifications and Availability
Scrptly reserves the right to modify, suspend, or discontinue the Service or any part thereof at any time without prior notice. We are not liable for any loss or inconvenience caused by such modifications or downtime.
Data Retention and Backups
Scrptly may store generated and uploaded content for a limited time to facilitate rendering or export. We do not guarantee the retention or availability of content beyond this period. You are responsible for downloading and backing up your content regularly.
Scrptly is not liable for any loss of data due to deletion, system failure, or account termination.
Logs, Prompts, and Usage Data
When you use the AI agent or other services we may log prompts, context images, usage metadata, token consumption, and generated outputs for billing, debugging, abuse prevention, and service improvement. We may retain aggregated or de-identified usage data indefinitely. See our Privacy Policy for details on data use and retention.
Subscription and Billing
Access to certain features may require a paid subscription. By subscribing, you:
- Authorize Scrptly (via third-party processors such as Stripe) to charge your payment method on a recurring basis.
- Acknowledge that all subscription fees are final and non-refundable.
- Understand that failure to maintain a valid payment method may result in suspension or loss of access.
- Understand that subscription plans may include a monthly token allowance; unused tokens may expire at the end of the month and do not carry over.
We reserve the right to adjust pricing and plan features at any time, with reasonable notice.
Third-Party Services
Scrptly may rely on third-party tools or services (e.g., for AI processing, hosting, or rendering). While we strive for reliability, we are not liable for interruptions or limitations caused by these third parties.
Your use of these external services, whether via API or otherwise, is governed by their respective terms and conditions.
Intellectual Property
All rights, title, and interest in and to the Service (excluding user-generated content) are and will remain the exclusive property of Scrptly and its licensors. You may not:
- Copy, modify, distribute, sell, or lease any part of our Service or included software.
- Use Scrptly branding or trademarks without written permission.
Indemnification
You agree to indemnify, defend, and hold harmless Scrptly, its affiliates, officers, employees, contractors, and partners from and against any claims, damages, obligations, losses, liabilities, or expenses (including legal fees) arising from:
- Your use of the Service.
- Your content.
- Your violation of these Terms or any applicable law.
- Your use of third-party APIs or services.
- Any claims arising from AI-generated content you create or distribute using the Service.
Refunds, Billing Disputes and Taxes
Fees, charges, and Tokens are non-refundable. All billing disputes should be raised promptly and will be handled in accordance with our billing procedures and the policies of our payment processors (e.g., Stripe). You are responsible for all applicable taxes associated with your purchases.
DMCA and Copyright Complaints
If you believe Content available on the Service infringes your copyright, please notify us via the contact method below with a takedown notice containing the required information under applicable law. We will respond and take action where appropriate. Repeat infringers may have their accounts terminated.
Data Processing and Privacy
We process prompts, context images, usage metadata, generated outputs, and other information to provide the Service, for billing, abuse prevention, and service improvement. Where Scrptly acts as a processor on your behalf (e.g., processing content you upload), you remain responsible as the controller for the legality of such processing and for obtaining any required consents. Security
We implement reasonable administrative, technical, and physical safeguards to protect Content. However, no system is fully secure. Scrptly does not guarantee that the Service is invulnerable to attack or unauthorized access. You are responsible for maintaining backups of your Content.
Export Controls and Compliance
You agree to comply with all applicable export and import laws and regulations. You will not use the Service in a manner that would violate export controls, sanctions, or trade embargoes.
Rate Limits, Abuse Prevention and Moderation
We may impose rate limits, quotas, or other usage controls and may suspend access for abusive or otherwise non-compliant behavior. We reserve the right to review, moderate, or remove Content that violates these Terms or that we reasonably suspect is unlawful, abusive, or harmful.
Feedback
If you provide suggestions or feedback about the Service ("Feedback"), you grant Scrptly a perpetual, irrevocable, royalty-free, fully sublicensable right to use, modify, and commercialize that Feedback without any obligation to you.
Beta Features
Beta features may be offered for testing. Such features are provided "as-is", may change, may be discontinued at any time, and may have different terms or data handling policies identified when the feature is enabled.
Assignment, Severability, Survival and Entire Agreement
We may assign these Terms in connection with a merger, acquisition, or sale of assets. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in force. Clauses that by their nature should survive termination (including sections on Fees, Intellectual Property, Indemnification, Disclaimer, Limitation of Liability, and Governing Law) will survive termination. These Terms constitute the entire agreement between you and Scrptly regarding the Service.
Disclaimer of Warranties
Scrptly is provided on an "as-is" and "as-available" basis. We do not guarantee that the Service will be error-free, secure, or uninterrupted. Use of the Service is at your own risk.
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. This includes any warranty that AI-generated outputs will be accurate, complete, legal, or appropriate for your needs.
Limitation of Liability
To the fullest extent permitted by law, Scrptly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising out of or related to your use of the Service—even if we have been advised of the possibility of such damages.
In no event shall our total liability exceed the amount you paid us in the 3 months preceding the event giving rise to the claim. This limitation applies also to claims related to AI-generated content, token usage, and third-party integrations.
Force Majeure
Scrptly is not liable for failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, acts of terrorism, pandemics, labor disputes, power failures, or disruptions in internet or hosting services.
Termination
We reserve the right to suspend or terminate your access to the Service at any time for violations of these Terms or for behavior that may harm our platform, our users, or third parties.
Upon termination, your right to use the Service will cease immediately, and Scrptly may delete your data and content in accordance with our retention policies.
Changes to Terms
Scrptly reserves the right to modify these Terms at any time. Updates will be posted on our website with a revised “Effective Date.” Your continued use of the Service after such updates constitutes acceptance of the new Terms.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law principles. Any disputes shall be resolved in the courts located in Montreal, Quebec.
