Terms of Service
Welcome to Scrptly ("we", "our", "us"). By accessing or using our website (scrptly.com) and related services, including but not limited to our programmatic video generation tools, APIs, and integrations ("Services"), you ("you", "user", or "customer") agree to be bound by the following Terms of Service. If you do not agree to these Terms, please do not access or use our Services.
1. Eligibility
To use our Services, you must be at least 18 years old or the age of majority in your jurisdiction, and have the legal capacity to enter into binding agreements. By using Scrptly, you represent and warrant that you meet these requirements. If you are using our Services on behalf of an organization, you affirm that you are authorized to do so and to bind that organization to these Terms.
2. Use of the Services
Scrptly provides a platform for creating, managing, and programmatically generating video content. You agree to use the Services in compliance with all applicable laws and regulations, and solely for lawful purposes. You may not use our Services in any manner that could damage, disable, overburden, or impair any Scrptly server, or interfere with any other party's use and enjoyment of the Services.
2.1 Prohibited Uses
- Use the platform to generate, disseminate, or promote illegal, defamatory, harmful, abusive, or obscene content.
- Use any robot, scraper, or other automated means to access the Services for any purpose without our express written permission.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or architecture of any component of the Services.
- Impersonate any person or entity or misrepresent your affiliation with a person or entity.
- Attempt to bypass any measures we use to restrict access to the Services.
3. User Accounts
You may be required to register for an account in order to access some features of the Services. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are solely responsible for safeguarding your password and account credentials. You agree not to disclose your password to any third party. You are solely responsible for all activities that occur under your account.
4. Intellectual Property
All content, features, functionality, and design elements provided by Scrptly—including, but not limited to, software, algorithms, APIs, graphics, logos, and text—are the intellectual property of Scrptly or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, republish, upload, transmit, or distribute any part of the Services without prior written permission from Scrptly.
4.1 User-Generated Content
You retain ownership of any content you submit, generate, or upload using the Services. However, by using our Services, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display such content solely for the purpose of operating, improving, and maintaining the Services. We do not claim ownership over your generated content and will not use it for marketing or promotional purposes without your explicit consent.
5. Payments and Billing
Access to certain Services or features may require payment. All pricing is displayed on our website and is subject to change at our sole discretion. Payments are processed securely through our third-party provider Stripe. By submitting your payment information, you authorize Scrptly and Stripe to charge the applicable fees. You are responsible for any taxes or fees associated with your use of the Services.
All sales are final unless otherwise stated. We reserve the right to deny refunds or credits at our discretion, except where required by law.
6. Third-Party Services
Scrptly may integrate with or rely upon third-party services including but not limited to artificial intelligence providers (e.g., for content generation or interpretation), hosting providers, payment processors, and analytics platforms. We are not responsible for the practices or content of these third-party services. Your use of such services may be subject to separate terms and privacy policies.
7. Disclaimer of Warranties
The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We expressly disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and availability. We do not warrant that the Services will be uninterrupted, secure, error-free, or that defects will be corrected.
8. Limitation of Liability
To the maximum extent permitted by law, in no event shall Scrptly, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total liability for any claim under these Terms shall not exceed the amount you paid us, if any, in the preceding six (6) months before the claim arose.
9. Indemnification
You agree to defend, indemnify, and hold harmless Scrptly and its affiliates, officers, directors, employees, and agents from and against any claims, actions, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Services, your content, or your violation of these Terms or any applicable law.
10. Termination
We reserve the right, in our sole discretion, to suspend or terminate your access to the Services at any time and for any reason, without prior notice or liability. Upon termination, your right to use the Services will immediately cease, and any content or data associated with your account may be deleted at our discretion. Termination does not relieve you of any payment obligations incurred before the termination date.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be resolved exclusively in the courts located in Quebec, Canada. You consent to the personal jurisdiction and venue of such courts.
12. Modifications to the Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. We will notify users of material changes via email or by posting a notice on our website. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
13. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
14. Entire Agreement
These Terms constitute the entire agreement between you and Scrptly with respect to the subject matter herein and supersede all prior or contemporaneous communications and proposals, whether oral or written.
